Terms & Conditions

Thank you for choosing 360e. By registering, you (hereafter referred to as “THE CUSTOMER”) agree to the following Terms & Conditions:

1. PRICING

Pricing is as displayed on THE CUSTOMER’s registration form. 360 Enterprises, LLC reserves the right to adjust pricing based on system usage, as detailed below:

Article 1

Customers who register fewer than four (4) users and utilize the $150/month discounted promotion will be subject to an automatic pricing adjustment to $250/month once the number of registered users exceeds four. 360 Enterprises, LLC will notify THE CUSTOMER prior to the adjustment, and the updated pricing will take effect in the next billing cycle.

Article 2

360 Enterprises, LLC may increase monthly hosting and support fees by a maximum of 4% per year. Any price adjustment will be communicated to THE CUSTOMER in writing at least 30 days before implementation.

2. TERMS OF OWNERSHIP

Licensing

THE CUSTOMER retains ownership of:

  • All data, records, documents, files, and digital assets contained within 360E.
  • 24/7 access to all authorized user accounts within 360E.
  • Exclusive use of the application for their organization.
  • An unlimited number of user accounts, as permitted by their selected plan.

Limitations

360 Enterprises, LLC retains full ownership of 360E as intellectual property. THE CUSTOMER may not:

  • Modify or change the hosting environment without written consent from 360 Enterprises, LLC.
  • Copy, duplicate, or create replicas of 360E.
  • Resell, lease, subcontract, or distribute the application or its intellectual property to third parties.

3. GOOGLE API USAGE

OAuth Authentication & Data Access

If THE CUSTOMER authorizes their Google Account via OAuth, our application may access:

  • Gmail API (to send emails on behalf of users who explicitly permit this functionality).

Google Data Handling & Privacy Compliance

We adhere to Google’s Limited Use Policy, ensuring:

  • Google user data is only used for the explicitly stated functionality (e.g., sending emails).
  • No Google user data is used for advertising or analytics.
  • THE CUSTOMER can revoke permissions anytime via their Google Account settings (Google Security Checkup).

4. TERMINATION OF AGREEMENT

This Agreement may be terminated by THE CUSTOMER with 30-day written notice. After notification and settlement of outstanding balances, THE CUSTOMER will have 30 days to access and export their data. 360 Enterprises, LLC will assist as needed.

5. INDEMNIFICATION AND LIABILITY

Indemnification

THE CUSTOMER agrees to defend, indemnify, and hold harmless 360 Enterprises, LLC from any claims, liabilities, or damages related to:

  • THE CUSTOMER’s use of 360E.
  • Third-party claims alleging intellectual property infringement.
  • Any security breaches caused by THE CUSTOMER, hosting provider, or third parties.

Limitations of Liability

360 Enterprises, LLC’s liability is capped at the greater of:

  1. The total sum paid to 360 Enterprises, LLC, or
  2. $35,000.

We are not liable for:

  • Loss of profit or business interruptions.
  • Third-party data breaches affecting security.
  • Customer-initiated data loss or system modifications.

Any legal claim must be filed within one (1) year from the date of acceptance of these terms.

6. CHANGES TO TERMS

We may update these Terms & Conditions at any time. Customers will be notified of significant changes via email or system notifications. Continued use of 360E constitutes agreement to the revised terms.
